Terms of Service

Please read these Terms of Service ('Terms of Service') carefully before using the Echovault application (the 'Service', 'App') operated by Echovault ('us', 'we', or 'our').

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.

1. ELIGIBILITY AND AGE REQUIREMENT

You must be at least eighteen (18) years of age to create an account and use the Service.

By creating an account or using the Service, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity and authority to enter into a binding agreement; (c) all registration information you submit is accurate and truthful; and (d) your use of the Service does not violate any applicable law or regulation.

We reserve the right to request proof of age at any point to verify compliance. If we believe or discover that you are not at least 18 years of age, we may suspend or terminate your account and access to the Service without notice.

If you are a parent or guardian and you become aware that your child under the age of 18 has created an account or is using the Service without your consent and in violation of these Terms, please contact us immediately via our contact page.

2. ACCOUNTS

When you create an account with us, you guarantee that you are above the age of 18 and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar, or obscene.

3. USE OF THE SERVICE

Our Service provides tools and features, including Artificial Intelligence (AI) powered assistance, to help Dungeon Masters and players create and manage tabletop roleplaying game content ("User Content").

You are solely responsible for your User Content and the consequences of creating, posting, or publishing it.

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
  • To generate or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • To generate content that infringes on the intellectual property rights of others.
  • To impersonate or attempt to impersonate Echovault, an employee, another user, or any other person or entity.
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm or offend Echovault or users of the Service or expose them to liability.
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
  • To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of any part of the Service, except to the limited extent applicable laws specifically prohibit such restriction.
  • To use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service, including their ability to engage in real-time activities through the Service.

4. USER CONTENT AND AI-GENERATED CONTENT

Ownership of Your User Content:

You retain all of your ownership rights in your User Content that you create manually within the App (e.g., campaign notes you type yourself).

AI-Generated Content:

The Service utilizes AI models to generate content based on your prompts. The nature of AI-generated content is that it can be unpredictable, and sometimes it may produce inaccurate, incomplete, offensive, or otherwise undesirable output.

You are responsible for reviewing and editing any AI-generated content to ensure it meets your needs and standards before using it in your games or sharing it.

Subject to the terms of the underlying AI model providers, you own the AI-generated content created through your specific prompts using the Service for your personal, non-commercial use in your games. However, due to the nature of AI, similar or identical content may be generated for other users or may exist in the AI model's training data. You acknowledge that we do not guarantee the uniqueness of AI-generated content.

Responsibility for AI-Generated Content:

You are solely responsible for any AI-generated content you choose to use, modify, or distribute, and you agree to use it in compliance with these Terms and all applicable laws. You acknowledge that Echovault is not responsible for the accuracy, appropriateness, or potential infringement of AI-generated content.

License to Us:

By creating or inputting User Content into the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our (and our successors' and affiliates') business, including for the purpose of operating, promoting, and improving the Service. This license is solely for the purpose of providing and improving the Service.

5. INTELLECTUAL PROPERTY

The Service and its original content (excluding User Content and AI-generated content, subject to Section 3), features, and functionality are and will remain the exclusive property of Echovault and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6. THIRD-PARTY SERVICES AND AI MODELS

Our Service integrates with and uses third-party AI models and services (e.g., via Vercel AI SDK, models from OpenAI, Google, Anthropic, etc.). Your use of these AI features is also subject to the terms and policies of these third-party providers. We are not responsible for the practices, content, or availability of these third-party services.

We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of any content provided by third-party AI models.

The availability of specific AI models or features may change without notice as we depend on third-party providers.

7. SUBSCRIPTIONS AND PAYMENTS

Billing: Some parts of the Service may be billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select.

Auto-Renewal: At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting customer support.

Payment Method: A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide us with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information.

Fee Changes: Echovault, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Refunds: We do not offer refunds for any Subscription fees. However, if you are not satisfied with the Service, you may terminate your Subscription at any time.

8. TERMINATION

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Echovault, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT:

  • THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
  • ANY ERRORS OR DEFECTS WILL BE CORRECTED;
  • THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
  • THE RESULTS OF USING THE SERVICE (INCLUDING AI-GENERATED CONTENT) WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

YOU ACKNOWLEDGE THAT AI-GENERATED CONTENT CAN BE INACCURATE, INCOMPLETE, OR OFFENSIVE, AND YOU AGREE TO USE IT AT YOUR OWN RISK AND DISCRETION.

10. LIMITATION OF LIABILITY

IN NO EVENT SHALL Echovault, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE (INCLUDING AI-GENERATED CONTENT); (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE TERMS OR YOUR USE OF THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICE IN THE LAST 12 MONTHS.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Echovault and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content (including AI-generated content that you use or disseminate) posted on or through the Service.

12. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

13. CHANGES TO TERMS OF SERVICE

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
